Instructions for remotely signing the Preliminary Sales Agreement with Pontus Gonio LLC, confirming the settlement, and transferring the hotel room before entering the hotel into operation!

During the remote conclusion of the Preliminary Sales Agreement, the sales manager of the company sends two messages to the buyer to the e-mail specified by him:

The first message is sent to the buyer from the official email of the company's central sales department: sales@pontus.ge, which will indicate the number assigned to the agreement and the following information will be provided:

“The Agreement № * is drawn up and is waiting for your signature.

The second message is sent to the buyer after the central sales department receives the agreement signed by the buyer. This message will contain the following information:

“The Agreement № * has been accepted by the central sales department of the company, and the agreement signed by the company's side is being returned to you. The mutually signed agreement is registered and stored in the accounting system of pre-sales agreements of Pontus Gonio LLC.

Confirmation of financial transactions for the purchase of a hotel room:

The amounts provided for in the pre-sales agreement/sales agreement will be deemed to be paid after the corresponding amount is credited to the bank account of the company – Pontus Gonio LLC, specified in the contract, transfer or by depositing money from the bank's cash register to the company's account..
ü On the bank account of Pontus Gonio LLC, the purchase price must be reflected in full, exactly in the amount that is written in the pre-sales agreement and its corresponding annex. Bank and intermediary bank transfer fees are paid in full by the buyer.
An official notice confirming the buyer's payments is sent to the buyer via email, by the sales manager attached to / in charge of particular buyer.

The procedure for transferring the hotel room before entering the hotel into operation:

If the buyer, prior to the entry of the Hotel into operation and the registration of the right of ownership of the corresponding hotel room in the Public Registry, decides to transfer the hotel room, this will be possible based on the conclusion of the Assignment Agreement, which is carried out by observing the following procedures:

If the buyer wishes to sell the hotel room, the buyer is obliged to offer the seller (Pontus Gonio Ltd) the preferential purchase of the hotel room. The Seller will have 2 (two) weeks to exercise the right of first refusal. If the seller does not respond to the buyer within the specified period or refuses to exercise the right of preferential purchase, the buyer will be entitled to transfer the hotel room to the third party.

Anyone interested in selling a hotel room to a third party should reach out to the company's sales manager and request information on the status of payment of the purchase price of the hotel room by him. After receiving this information, a statement is sent to the sales manager, providing details about the person or company interested in purchasing a hotel room from the buyer. Based on this information, the company's lawyers draft the Assignment Agreement and provide it to both the seller and the new buyer for review and signing.

It should be noted that the Assignment Agreement can be concluded only in the sales offices of the company, that is to say that the seller and the future buyer, in the presence of the sales manager, enter into the said agreement, and only after that the Assignment Agreement is considered concluded. Alternatively, the Assignment Agreement may be notarized and submitted to Pontus Gonio LLC for further confirmation. The assignment of the rights is recorded and stored in the accounting system of pre-sales agreements of Pontus Gonio LLC.
